Licence Agreement
1. Introduction
This Licence Agreement (“Agreement”) is made between The Sourdough School (“Licensor”) and the Teacher (“Licensee”) applying for the licence to use Botanical Blend Flour in their Teaching operations. This Agreement sets out the terms and conditions under which the Licensee is permitted to use the lessons, recipes, cards, timetables, and mill Botanical Blend Flour, aligning with the principles of BALM and promoting diversity in bread making.
2. Definitions
- Botanical Blend Flour: A specific blend of flour formulated by The Sourdough School, which incorporates diverse botanical ingredients to enhance nutritional and sensory qualities in bread.
- BALM: Baking as Lifestyle Medicine, an evidence-based framework for baking healthy bread.
- Licensee: Teachers with a turnover of less than £250,000 per annum.
3. Licence Grant
The Licensor grants the Licensee a non-exclusive, revocable licence to use the Diversity bread and 10 minute and Botanical Blend Flour in their teaching, subject to the terms and conditions set forth in this Agreement.
4. Conditions of Use
a. Operation: The Licensee must be a single bakery or have a turnover of less than £250,000 per annum.
b. Renewal: The Licence must be renewed annually. Failure to renew the Licence will result in termination of this Agreement.
c. Display Requirements: The Licensee must display a link to The Sourdough School Diversity Bread page on their website and in their bakery, explaining the BALM protocol and Diversity and Botanical Blend Flour and its support to the environment and social change
Milling and Usage: The Licensee must either:
- Mill the flour in accordance with The Sourdough School’s meadow blend or one of the standard blends as listed by the Licensor, OR
- Use the commercially produced Botanical Blend Flour from Hodmedods Ltd in their bread, ensuring that it constitutes a minimum of 20% of the total flour used in each loaf.
e. Bread Composition Requirements:
- The bread must contain at least 50% whole-grain flour.
- The bread must be fermented using natural fermentation methods with wild yeast and lactic acid bacteria in a natural sourdough starter. No commercial or baker’s yeast is allowed.
- The bread must be either retarded (cold fermented) or ambient fermented correctly.
f. Agricultural Standards: The flour used must not be treated with agrochemicals. Ideally, it should be organic or derived from regeneratively farmed grains.
g. Educational and Community Engagement: The Licensee should take every opportunity to share knowledge about nourishment, sustainable farming practices, gut health, and how Diversity Bread can promote diversity in the gut and the environment.
h. Probiotic and Polyphenol Use: The Licensee may also incorporate probiotics in sandwiches and pizzas, use high levels of polyphenols, and reduce sugar content, in line with the BALM protocol.
5. Intellectual Property
The Licensee acknowledges that all intellectual property rights in the Botanical Blend Flour, including any trademarks, trade secrets, or proprietary information, remain the exclusive property of the Licensor. The Licensee agrees not to infringe upon or dilute these rights in any manner.
6. Attribution
The Licensee agrees to credit The Sourdough School as the source of the Botanical Blend Flour in any promotional materials, product descriptions, or marketing efforts related to the bread produced using the blend.
7. Termination
a. Grounds for Termination: The Licensor reserves the right to terminate this Agreement with immediate effect if the Licensee breaches any terms of this Agreement, including but not limited to:
- Failure to comply with the conditions of use.
- Infringement of intellectual property rights.
- Failure to renew the licence annually.
- Misrepresentation or misuse of the Botanical Blend Flour.
b. Procedure Following Termination: Upon termination, the Licensee must immediately cease using the Botanical Blend Flour and remove any references to The Sourdough School and its blends from their materials. The Licensee must also provide a written confirmation of compliance with these requirements within 30 days of termination.
8. Audit Rights
The Licensor reserves the right to audit the Licensee’s use of the Botanical Blend Flour to ensure compliance with this Agreement. The Licensee agrees to provide reasonable access and cooperation for such audits.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
10. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements, whether written or oral, regarding the subject matter herein.
11. Amendments
Any amendments or modifications to this Agreement must be made in writing and signed by both parties.
12. Acknowledgment
By applying for and accepting this Licence, the Licensee acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
